Terms & Conditions

Proposals : The specific deliverables, timeline, and budget for your project will be outlined in a formal Proposal.
Scope Creep : Any tasks requested by the Client that fall outside the agreed-upon Proposal will be considered "out of scope." These additional tasks will be billed separately at our standard hourly rate or as a fixed-fee add-on.
Business Hours : Our studio operates from Monday to Friday, 11 am to 5pm (IST) Communication received outside these hours will be addressed on the next business day.

Deposit : A non-refundable deposit of 50% of the total project fee is required to secure our time and commence work.
Milestones : Remaining payments are due strictly as per the schedule outlined in your invoice/proposal.
Final Delivery : Final files, assets, or launch rights are strictly withheld until the final balance is paid in full.
Late Fees : Invoices overdue by more than 14 days may incur a late payment fee of 5% per week.

Client Ownership : Upon full payment of all fees, the Client is granted the license to use the Final Deliverables (e.g., final logos, exported videos, strategy documents) for their intended business purposes.
Studio Ownership : MSHN Studio retains ownership of all working files, source code, preliminary sketches, raw footage, and rejected concepts. These are not included in the deliverables unless a "Buyout Fee" is negotiated.
Portfolio Rights : We reserve the right to display the work created for the Client in our portfolio, website, and social media channels for self-promotional purposes, unless a Non-Disclosure Agreement (NDA) has been signed.

Standard Revisions: Unless stated otherwise, our projects include two (2) rounds of revisions at each stage.
Consolidated Feedback: Feedback must be provided in a single, consolidated format. Fragmented feedback may count as multiple rounds.
Excess Revisions: Revisions beyond the included rounds, or changes to previously approved work, will be billed at our standard hourly rate.

Rescheduling: We require at least 48 hours' notice to reschedule a shoot. Cancellations or rescheduling within 48 hours may incur a fee to cover crew and equipment costs.
Weather: For outdoor productions, decisions regarding weather delays are at the sole discretion of the Studio.
Raw Footage: We deliver the final, edited product. Unedited RAW footage/images are not included in standard packages but may be purchased for an additional fee.

Performance : While we employ industry-best practices, we cannot guarantee specific numerical results (e.g., specific sales figures, viral reach) as digital platforms are subject to external algorithms.
Ad Spend: The Client is directly responsible for all media budgets (payments to Meta, Google, etc.). This budget is not included in our agency fee.

Client Cancellation: If the Client cancels the project after work has commenced:
- The 50% deposit is non-refundable.
- The Client is liable for all billable hours and expenses incurred up to the date of cancellation.

Studio Termination: We reserve the right to terminate a project due to non-payment, lack of communication, or breach of these terms.

MSHN Studio will not be liable for any indirect, special, or consequential damages arising out of the use of our services.
The Client agrees to indemnify the Studio against any claims arising from materials provided by the Client (e.g., images or text that the Client does not own the rights to).

These terms shall be governed by and construed in accordance with the laws of India. Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts of Kolhapur.
